Terms & Conditions
Please carefully review the following terms and conditions before entering into any business relationship with BLOP LLC ("BLOP," "Blop Design," "we," or "us"). These terms govern the provision of our design services, including but not limited to 3D modeling, graphic design, brand design, web design, motion design and other related services. By engaging our services, you ("the client" or "you") acknowledge and agree to be bound by these terms and conditions.
Ownership and Payment:
BLOP LLC retains full ownership of all variations, drafts, designs, and other intellectual property created or developed during the course of the project until full payment has been received. Upon receiving full payment, the final deliverable becomes the property of the client.
The client understands and acknowledges that all variations, drafts, designs, and other intellectual property, excluding the final product, remain the exclusive property of BLOP LLC.
The client agrees not to reproduce, distribute, modify, or use any variations, drafts, designs, or other intellectual property created or developed by BLOP LLC, except the final product.
The client further agrees not to claim ownership or authorship of any variations, drafts, designs, or other intellectual property created or developed by BLOP LLC, except for the final deliverable as agreed upon.
The client agrees to make two separate payments for the project. The first payment of 70% of the total project cost is due before the commencement of the project. The remaining 30% is due upon completion of the project unless otherwise specified in the contract.
If the project is terminated by the client before completion, BLOP LLC reserves the right to charge the client an hourly rate which will be discussed in the contract for the work completed up to that point. BLOP LLC may or may not have detailed records or a precise method to calculate the number of hours worked.
Additionally, the client shall be responsible for reimbursing BLOP LLC for any external services or expenses incurred on behalf of the client, such as purchasing a domain, hosting services, stock images, or other third-party services, as agreed upon in writing.
Scope of Work:
The client acknowledges that the scope of work is defined in the project agreement or contract between BLOP LLC and the client. Any additional work beyond the agreed scope may incur additional fees, which will be communicated and agreed upon by both parties in writing.
Changes or revisions requested by the client that are outside the agreed-upon scope may also result in additional charges. BLOP LLC will provide an estimate of any additional costs before proceeding with the requested changes.
Confidentiality and Non-Disclosure:
BLOP LLC and the client shall maintain the confidentiality of any confidential or proprietary information shared during the course of the project.Both parties shall not disclose, share, or use any confidential information for any purpose other than fulfilling the obligations outlined in the project agreement, unless prior written consent is obtained.
Intellectual Property Rights:
BLOP LLC retains the intellectual property rights to all preliminary designs, variations, drafts, and concepts created during the project, whether selected or not.
Upon full payment, BLOP LLC transfers the intellectual property rights to the final product to the client, unless otherwise specified in the contract.
Termination:
Either party may terminate the project by providing written notice in the event of a material breach by the other party. Any outstanding payments shall become immediately due and payable.
If the client terminates the project before completion, the client shall pay BLOP LLC for the work completed up to that point, including any additional charges according to the hourly rate mentioned in Section 1c, and reimburse any external services or expenses incurred on their behalf as per Section 1d.
Limitation of Liability:BLOP LLC will make reasonable efforts to ensure the accuracy, quality, and timely delivery of its services. However, we do not guarantee specific results or outcomes, and we shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use of our services or the final product.
The client acknowledges that design is subjective, and BLOP LLC's work is influenced by artistic interpretation. The client understands and agrees that variations in color, style, and design may occur and shall not be considered as defects.
Use of Projects in Portfolio and Social Media:
Unless otherwise agreed upon in writing, BLOP LLC reserves the right to showcase completed projects in our portfolio, website, social media accounts, or other marketing materials for promotional purposes.
By engaging our services, the client grants BLOP LLC a non-exclusive, worldwide, royalty-free license to display and promote the completed project, including any variations, drafts, designs, or other intellectual property associated with the project.
BLOP LLC agrees to exercise reasonable efforts to prevent the disclosure of sensitive or confidential information in any public display of the project. However, the client acknowledges that BLOP LLC cannot be held responsible for any unauthorized use or reproduction of project details by third parties who view the portfolio, website, social media accounts, or other marketing materials.
If the client wishes to restrict the use of the project in BLOP LLC's portfolio or marketing materials, a separate written agreement must be made between BLOP LLC and the client specifying the terms and conditions for such restriction.
Project Commencement and Completion:
The project is considered officially started once BLOP LLC has received the advanced payment as specified in Section 1(b) of these terms and conditions.
Upon receiving the advanced payment, BLOP LLC will initiate the necessary steps to commence the project, including allocating resources, initiating communication, and initiating the design and development process.
The client acknowledges that any timeline or estimated completion date provided by BLOP LLC is subject to change based on various factors, including the complexity of the project, client feedback and responsiveness, and external circumstances beyond BLOP LLC's control.BLOP LLC will make reasonable efforts to adhere to the agreed-upon timeline and complete the project in a timely manner, but no guarantees are made regarding the exact duration or completion date.
The project is considered officially finished and completed once the final payment, as specified in Section 1(b) of these terms and conditions, has been received by BLOP LLC.Upon receiving the final payment, BLOP LLC will deliver the final product to the client as agreed upon in the project requirements.
The client acknowledges that BLOP LLC retains ownership of all variations, drafts, designs, and other intellectual property, excluding the final product, as stated in Section 1 of these terms and conditions.
Governing Law and Jurisdiction:
These terms and conditions shall be governed by and construed in accordance with the laws of the State of Wyoming, United States.
Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts located in Wyoming.
By engaging our services, you acknowledge that you have read and understood these terms and conditions and agree to be bound by them.
